When we have scanned a letter and forwarded it to your e-mail, we will make sure to shred the contents of the letter before disposing of it. In other words, you can be certain that all your mail will be managed safely and properly.

On our website, you can upgrade your subscription from monthly billing to annual billing. You can do so here. Once you have selected and paid for the new subscription, we will refund the amount you originally paid.

You can also cancel your virtual office subscription in the same place.

The following terms and conditions (hereinafter referred to as the "Terms and Conditions") apply to the use of the virtual address service (hereinafter referred to as the “Service”) offered by LegalDesk.dk ApS (hereinafter referred to as "LegalDesk") on the website www.legaldesk.dk (hereinafter referred to as the "Platform"). The Terms and Conditions therefore apply to all users (hereinafter referred to as the “User”) who choose to make use of the Service.

1. THE SERVICE

1.1. The Service makes it possible to have the address of the User’s company registered at Njalsgade 21F, 2nd floor, 2300 Copenhagen S (hereinafter referred to as the “Address”). In addition, LegalDesk will be responsible for the administration of mail received at this Address.

1.2. When a company uses the Service, its address will become a c/o address and will therefore appear as follows:

1.3. LegalDesk scans all incoming mail once a week (every Tuesday) and sends electronic copies to the User by email at the email address registered on the Platform. This service does not include advertisements, magazines, periodicals and similar items, which will not be received or stored. It is the User’s responsibility to ensure that the User’s address details and email address are at all times correct and up to date.

1.4. The Service does not include receipt of parcels at the Address. If parcels are nevertheless sent to the Address, the handling of such parcels will be subject to a fee. The amount of the fee depends on the pricing package selected by the User. The parcel may either be collected at the Address by prior arrangement or forwarded to an address of the User’s choice, and the costs thereof shall be borne by the User. No later than 30 days after notification of receipt of a parcel has been sent to the User, the User must have collected the parcel or entered into an agreement for forwarding to an address specified by the User. If the User fails to comply with the above deadline, LegalDesk reserves the right to dispose of the parcel.

1.5. LegalDesk reserves the right to refuse receipt of certain parcels, including but not limited to:

a) Parcels suspected of containing illegal contents.
b) Parcels that smell or leak.
c) Parcels that are very large or heavy.

1.6. LegalDesk reserves the right to reject certain Users without explanation or justification. LegalDesk may refuse to accept a customer’s request for a subscription to the Service, including but not limited to cases where LegalDesk assesses that the User’s intended use of the Service is not in accordance with LegalDesk’s internal policies or applicable law.

1.7. The User is obliged to immediately notify LegalDesk of the following changes:

a) Changes in ownership
b) Changes in management
c) Change of registered address
d) Change of contact details.

Notification of these changes must be sent to kontakt@legaldesk.dk, and it is the customer’s responsibility to ensure that LegalDesk at all times has up-to-date and correct information.

1.8. LegalDesk reserves the right to amend the Terms and Conditions. Any amendment to the Terms and Conditions will be communicated to the User by email and will enter into force no earlier than one month after such notification.

2. ACCESS AND PRESENCE

2.1. The purpose of the Service is to serve as a postal address and for address registration with public authorities such as the Danish Business Authority and the Danish Tax Agency.

2.2. The Service makes it possible to rent office space by prior arrangement. The price for renting office space is DKK 499 excluding VAT per hour. All requests for rental must be sent to kontakt@legaldesk.dk no later than 4 weeks before the intended use. Rental of office space is not accepted until LegalDesk has confirmed the request in writing. LegalDesk reserves the right to reject requests for rental of office space at its own discretion.

2.3. Staying, working, production or similar activities, other than rental of office space as stated in clause 2.2, are not permitted at the Address. Access to the Address is limited to the possible collection of parcels as stated in clause 1.3.

2.4. By entering into the Terms and Conditions, the User accepts that these do not grant the User any tenancy rights, rights of use or other rights in respect of the Address other than those stated in clauses 2.1–2.2.

3. PRICE AND PAYMENT

3.1. Payment for the Service depends on the pricing package selected by the User. If monthly payment has been selected, the first payment is due upon entering into the agreement for use of the Service. Subsequent payments are payable every 30 days in advance. If annual payment has been selected, payment is due on the 30th day of the 11th month (1 month before the expiry of the subscription period).

4. TERMINATION

4.1. The Service continues until terminated by either party. The Service may be terminated by either party at any time, and the termination will take effect on the first business day following receipt of the notice of termination. A termination by the User is only valid if it is sent in writing to virtuelt-kontor@legaldesk.dk and includes a completed termination form. The termination form can be found here.

4.2. The User is not entitled to a partial refund if the termination falls within a payment period.

4.3. LegalDesk may terminate an agreement with immediate effect by notifying the User thereof if:

4.3.1. The User breaches the Terms and Conditions.

4.3.2. The User becomes insolvent, a bankruptcy order is issued against the User’s company, or the User’s company is placed into compulsory dissolution.

4.3.3. The User breaches applicable laws or regulations in relation to the conduct of the User’s business.

4.3.4. LegalDesk is notified by a public authority or other regulatory body that there are reasonable grounds to suspect that the User is engaged in criminal activities or other activities that are incompatible with applicable law.

5. BREACH

Failure to make payment or any other breach of the agreement will result in LegalDesk terminating the cooperation, whereby the User’s company address will be removed from the Address. In the event of a breach, an administration fee of DKK 500 will be charged.

6. NON-TRANSFERABILITY

The rights and obligations under the Terms and Conditions are non-transferable.

7. LIABILITY

7.1. It is the User’s responsibility to ensure that the use of the Service is not incompatible with the purpose of the User’s company or the operation thereof.

7.2. LegalDesk assumes liability for direct damages that may arise as a result of LegalDesk’s negligent or intentional acts or omissions in connection with the provision of the Service. However, LegalDesk’s total liability for damages shall in no event exceed DKK 100,000.

7.3. LegalDesk assumes no liability for indirect, incidental, special or consequential damages, including loss of profit, revenue, goodwill or data, which may arise as a result of the use of or inability to use the Service.

7.4. LegalDesk disclaims any liability for damage, loss or disruption caused by force majeure events or other events beyond our reasonable control, including but not limited to natural disasters, strikes, technical failures or failures in the services of third-party providers.

8. PROCESSING OF PERSONAL DATA

8.1. LegalDesk processes personal data in accordance with the General Data Protection Regulation and the Danish Data Protection Act. Read more about the handling of personal data in LegalDesk's Privat Policy here.

8.2. As the Service is subject to the Danish Anti-Money Laundering Act, LegalDesk is required to process your personal data in accordance with the Danish Anti-Money Laundering Act. The processing of your personal data is necessary for compliance with a legal obligation. 9. GOVERNING LAW AND JURISDICTION

9.1. Any dispute arising out of the Service or any disputes resulting therefrom, including the scope or validity of the Terms and Conditions, shall be governed by Danish law and shall be subject to the exclusive jurisdiction of the Danish courts. Any dispute or disagreement shall be settled by the Copenhagen City Court as the agreed venue.
